Terms Of Service

Welcome to Emnova Portal Limited. These Terms of Service (“Terms”) govern your access to and use of the Emnova Portal Limited platform (the “Service”), provided by Emnova Portal Limited, a company duly incorporated under the laws of the Federal Republic of Nigeria (RC No. 8648084), with its registered office at No. 101 Isoko Road, Ughelli, Delta State (the “Provider”).

By accessing or using the Service, you (the “Client”) agree to be bound by these Terms. If you do not agree, you may not use the Service.


1. Purpose

The Service is a cloud-based school management solution designed for primary and secondary schools to manage academic, administrative, and communication activities.


2. Scope of Services

The Provider shall grant the Client login access to the portal and enable the following modules and features, including but not limited to:

  • Session creation and modification

  • Student registration and record management

  • Automated result computation

  • Grading systems, comp ratio, and score scale customization

  • Broadsheet viewing

  • Score entry, upload, and modification

  • Bulk student and staff upload

  • Staff account management

  • Pin generation and management

  • Result sheet generation

  • Ongoing user support


3. Term

This Agreement commences on the Effective Date and remains in force for the subscription period, renewable upon mutual agreement.


4. Fees & Payment

  • The Client shall pay a termly subscription fee of ₦333.33 per child, including certificate classes for all terms.

  • Payments must be made within 3 days of invoice to the Provider’s designated bank account.

  • A school website shall be built and maintained at no additional cost, provided subscription fees remain up to date.


5. Intellectual Property

All source code, frameworks, designs, and intellectual property of the Service remain the sole property of the Provider.
The Client receives a limited, non-exclusive, non-transferable license to use the Service during the subscription term.


6. Confidentiality & Data Protection

  • Both Parties agree to maintain confidentiality of all student, staff, and institutional data.

  • Graduated students’ data will remain on the system for five (5) years before deletion.


7. Client Responsibilities

The Client agrees to:

  • Provide accurate data for system setup.

  • Ensure staff and students are trained to use the portal (training materials will be provided).

  • Maintain internet access and devices necessary for portal use.

  • Promptly settle all fees.


8. Feedback & Suggestions

Any feedback, comments, or suggestions provided by the Client shall remain the exclusive property of the Provider, which may use them without obligation or compensation.


9. Technical Support

Support is available via email, phone, or portal helpdesk during business hours:
Monday – Friday, 9:00am – 5:00pm (excluding public holidays).


10. Opt-Out & Data Access

If the Client opts out of the Service:

  • Access to the portal and website will be suspended.

  • Paid session results will remain available for five (5) years, after which they will be permanently deleted.

  • Website files are not transferable, and they will be deleted from server after 5years permanently. 


11. Refund Policy

  • Payments are non-refundable once made.

  • A demo/test-run is available prior to onboarding to ensure suitability.


12. Service Availability

The Provider shall use reasonable efforts to maintain 95% uptime monthly, excluding:

  • Scheduled maintenance (with prior notice where possible)

  • Emergency maintenance

  • Downtime due to internet providers, power outages, or force majeure

No refunds are given for downtime, but corrective action will be taken in case of extended outages.


13. Termination

  • Either Party may terminate this Agreement.

  • The Provider reserves the right to suspend or terminate access if payment defaults occur.


14. Limitation of Liability

The Provider shall not be liable for indirect, incidental, or consequential damages.
Total liability shall not exceed the fees paid by the Client during the disputed period.


15. Governing Law

This Agreement shall be governed by the laws of the Federal Republic of Nigeria.


16. Entire Agreement

These Terms constitute the entire agreement between the Provider and the Client regarding the Service, superseding any prior agreements or understandings.
